Before paying or accepting a reservation deposit, have your own lawyer explain the document, the recipient, the conditions and the circumstances in which money is returned or retained. A reservation arrangement is not the same thing as depositing a sale contract at the Land Registry. Properly’s readiness confirmations are not a substitute for either.
Ask what the payment is intended to achieve
Is the seller being asked to stop marketing, is the buyer making a conditional proposal, or is the document intended to create a binding obligation? Those are questions about the actual wording and circumstances. Do not infer the answer from the label “reservation” or from the size of the payment.
Identify the property, parties, amount, proposed price and relevant dates. Record which conditions remain open, including finance and professional checks. An informal promise that everything can be sorted out later does not explain how the payment is protected.
Identify the recipient and their authority
Ask who will receive the money, in what capacity and under what instructions. The seller, an agent and a lawyer may have different roles. The fact that someone has sent an invoice or bank account does not establish authority to hold a deposit on the terms you expect.
Have the relevant professional explain how funds will be held and when they may be released. The shared Properly case is not an escrow account, and the platform does not collect the property purchase price. Verify instructions through the trusted channel agreed for the matter.

What happens if finance is refused, a title problem emerges, the seller changes their mind or a deadline is missed? Ask the lawyer to explain the actual consequences, including any notice requirements and evidence that may be needed. A refund expectation should not depend on a verbal reassurance that contradicts the document.
The buyer and seller may have different interests in this wording. A professional who represents one side is not automatically the independent adviser of the other. Seek your own review where appropriate before agreeing to risk money or restrict your options.

A reservation payment does not itself establish the protections associated with the appropriate sale-contract process. Ask your lawyer which transaction route applies and what must be signed, filed or registered. The DLS publishes the relevant contract-of-sale procedure.
Put each step on its own line in the case: proposed terms, reservation review if used, legal enquiries, contract preparation and the official actions required. This prevents a receipt or a readiness tick being mistaken for completion of a legal formality.

Record the document version, professional review requested, open questions and agreed next actions. Keep the signed document and payment evidence in the appropriate place, with access limited to the people entitled to see it. Do not place confidential legal advice in a shared conversation.
If the parties disagree about a deposit, the platform cannot decide who is entitled to it or release funds. Ask the relevant professionals about the dispute and the agreed handling process. A transaction-support package should not be treated as litigation cover.
How Properly fits before the commitment
You can open a case and organise the brief before a paid package or professional engagement is agreed. The €3,995 digital sale package includes VAT and is paid at the start of the agreed work; it is separate from the property price and any reservation deposit.
Use the preparation stage to identify representation, scope and the documents needing review. Digital coordination is helpful when it makes the next professional question obvious. It should not turn a high-stakes decision into a one-click assumption.
Your preparation checklist
- Read the actual document with your own adviser.
- Confirm the recipient, authority and holding instructions.
- Understand refunds, defaults, conditions and deadlines.
- Distinguish reservation from DLS contract steps.
- Verify payment details independently before transferring funds.
Questions about your next move.
Is every reservation deposit refundable?
Do not assume so. Have your own lawyer explain the document, conditions, recipient and consequences of withdrawal or default before paying or accepting money.
Does Properly hold reservation or purchase money?
Properly does not operate the transaction’s escrow or receive the property purchase price. Any holding and release arrangements belong with the agreed professionals and bank.
Give your property move a proper place to move forward.
Bring the property you have found into a private case room. Coordinate with the other party and the independently appointed lawyer.
